01About Us & These Terms

AI QS is a trading name of TheAIQS Ltd, a company registered in the United Kingdom. These Terms and Conditions ("Terms") govern your use of the AI QS website at theaiqs.co.uk, the AI QS Portal at aiqs-portal.onrender.com, the Send Drawings submission form, and all related services (collectively, the "Service").

By accessing or using any part of the Service, submitting drawings, purchasing a subscription, or engaging with any AI QS deliverable, you ("the Client", "you") agree to be bound by these Terms in full. If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you and TheAIQS Ltd.

AI QS provides AI-assisted quantity surveying services for construction projects across the United Kingdom and Ireland. The Service uses artificial intelligence to analyse construction drawings, extract measurements, apply market rates, and generate professional documentation.

04AI-Generated Output Disclaimer

CRITICAL: All Deliverables produced by AI QS are generated, in whole or in part, by an AI System. AI-generated outputs may contain errors, omissions, inaccuracies, or misinterpretations. The Client must independently verify all Deliverables before relying on them for any purpose.

You acknowledge and agree that:

It is the Client's sole responsibility to review, verify, and validate all Deliverables before use. AI QS strongly recommends that all BOQs and cost estimates are reviewed by a suitably qualified construction professional before being relied upon.

AI QS does not hold Professional Indemnity Insurance in respect of the Deliverables. The Service is not a regulated professional quantity surveying practice. Deliverables are not intended to be relied upon as professional advice.

08Limitation of Liability

To the maximum extent permitted by law:

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

09Indemnification

The Client agrees to indemnify, defend, and hold harmless AI QS (TheAIQS Ltd), its directors, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with:

10Intellectual Property

Your IP (the Client's). You retain all intellectual property rights in the Drawings, specifications, and documents you upload. By uploading, you grant TheAIQS Ltd a non-exclusive, royalty-free, worldwide licence to host, use, process, analyse, and adapt those materials (i) to provide the Service and produce your Deliverables, and (ii) to develop, train, test, and improve the Service and the AI System — in each case subject to the data-protection and confidentiality provisions in Sections 13 and 14.

Our IP (AI QS). TheAIQS Ltd retains all intellectual property rights, title, and interest in and to the Service, the AI System, and its algorithms, models, software, source code, prompts, templates, document formatting, rate libraries, cost databases, benchmarks, and proprietary methodologies (together, the "AI QS Materials"), including all improvements, modifications, and derivative works. Nothing in these Terms transfers ownership of the AI QS Materials to you.

Derived data and improvements. All data, rates, benchmarks, statistics, know-how, model parameters, and other materials that TheAIQS Ltd generates, derives, or learns from operating the Service — including from your use of the Service, your confirmed rates, tender returns, and feedback — are and remain the sole property of TheAIQS Ltd. To the extent any such rights would otherwise vest in you, you assign them to TheAIQS Ltd. TheAIQS Ltd asserts database rights under the Copyright and Rights in Databases Regulations 1997 in its compiled rate and cost databases.

The value we build from operating the Service — our rate libraries, cost benchmarks, and the improvements learned across projects — is our intellectual property. Your individual project data and your own rates are never disclosed to other clients (see Sections 13 and 14).

Your licence to use Deliverables. Subject to payment and these Terms, you receive a non-exclusive, non-transferable, revocable licence to use the Deliverables for your own business purposes — including incorporating them into your own quotations, tenders, and documents, and sharing them (including the branded "Client Copy") with your own customers as part of your construction or surveying services.

Restrictions. You must not, and must not permit any third party to: (a) resell, sublicence, rent, or commercially distribute the Deliverables or the Service as a standalone product or service; (b) copy, scrape, extract, or re-use a substantial part of our rate libraries, cost databases, or Deliverables to build a competing dataset, library, or product; (c) reverse engineer, decompile, or attempt to derive the source code, models, prompts, or methodologies of the AI System; or (d) use the Service, the Deliverables, or any output to develop, train, or improve any artificial intelligence model, quantity-surveying tool, or other product that competes with AI QS. These restrictions survive termination.

14Confidentiality

AI QS treats all Client drawings, project details, and business information as confidential. We will not disclose your project information to competitors, other clients, or unrelated third parties, save for the internal product-improvement use described in Sections 10 and 13, which never exposes your identifiable project data or rates to other clients.

However, you acknowledge that materials are processed through third-party AI and cloud services as described in Section 13, and AI QS cannot guarantee absolute confidentiality in respect of those third-party processors.

15Availability & Downtime

AI QS aims to provide the Service on a continuous basis but does not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, server issues, third-party API outages, or circumstances beyond our control.

AI QS shall not be liable for any loss or inconvenience caused by temporary unavailability of the Service.

16Third-Party Services

The Service relies on third-party platforms and APIs. AI QS is not responsible for the performance, availability, terms, or data practices of third-party services including but not limited to: Anthropic (Claude AI), Google Cloud and Google Drive, Stripe, Pipedream, Render, and Hostinger.

17Termination

AI QS may suspend or terminate your access to the Service immediately if:

Upon termination, your right to use Deliverables already generated and paid for is not affected. AI QS may delete your Portal account data and uploaded files 90 days after termination.

18Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation by contacting hello@crmwizardai.com. If the dispute cannot be resolved within 30 days, either party may pursue formal legal proceedings.

19Changes to These Terms

AI QS reserves the right to update these Terms at any time. Material changes will be communicated via email to registered users and/or by posting a notice on the website. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

20Contact & Governing Law

These Terms are governed by and construed in accordance with the laws of Scotland and the United Kingdom. The courts of Scotland shall have exclusive jurisdiction in respect of any disputes.
